The Delta Leadership Committee (DLC), under the leadership of our CEO and oversight of the Board of Directors, manages the strategic direction of our business, including the implementation of our ESG initiatives.
DLC members or other executives who report directly to the DLC spearhead executive-level councils. These councils meet regularly to drive these efforts in coordination with crossfunctional working groups across the company.
The DLC is regularly briefed on various ESG matters by our Executive Vice President (EVP) - External Affairs and frequently engages with internal subject-matter experts on these topics. Over the course of 2023, the DLC was briefed on Delta's long-term climate strategy by our Chief Sustainability Officer. This brief included the comprehensive strategy that set the foundation of our short-, medium- and long-term milestones and targets, which will drive our path to net-zero emissions by 2050. The strategy review also included potential risks and opportunities specific to our sustainable aviation fuel strategy, which is core to Delta's decarbonization efforts.

Cherie Wilson is Vice President of Government Affairs – Sustainability, with responsibility for leading Delta's international, federal, state and local climate policy coordination and disclosures, ensuring alignment between the company's climate goals and its climate lobbying activities. Delta's climate policy development efforts are led by the Vice President, Government Affairs – Sustainability, based in Washington, D.C., who reports to our Senior Vice President, Government Affairs. This leadership position is responsible for cross-functional collaboration with applicable business units, in partnership with our Chief Sustainability Officer, as well as coordination with lobbyists across our Federal, International, and State and Local Government Affairs teams, to help foster a policy environment that will enable Delta's net-zero climate objectives. In addition to our in-house lobbyists and business partners, we constructively engage with trade associations and collaborate with climate policy thought leaders, such as environmental non-governmental organizations, think tanks and coalitions. [...] In addition to direct lobbying activities, we are members of sector-specific and multi-industry trade associations that engage in lobbying on a variety of matters, including climate change. We believe in the power of direct engagement and periodically assess the alignment of Delta and Monroe's trade associations' climate change positions with our own. Our assessment methodology is based on whether the trade association has a stated position that supports the achievement of net-zero emissions by 2050, consistent with the findings of the IPCC, coupled with analysis of specific lobbying activities. In 2023, we assessed the activities of key associations, including IATA, A4A, the Business Roundtable and American Fuel and Petrochemical Manufacturers.

Political Activity and Policy Engagement Delta is committed to being a positive voice on public policy issues that not only impact the airline industry but also impact our customers, our people and the communities we serve. Management of our overarching advocacy and regulatory compliance activities is the responsibility of our Chief Legal Officer in conjunction with our Senior Vice President, Government Affairs, and our Vice President, State and Local Government Affairs. The DLC is regularly briefed on our policy priorities and activities, and our Corporate Governance Committee also receives formal reports on our political activities. We care about a wide range of issues including fair trade, competition policy, safety and security, workforce development as well as energy and the environment, inclusive of climate change policy. We actively lobby, directly and indirectly, to influence the development of international, federal, state and local public policies. We issue a Political Contributions and Activity Report annually and, in response to shareholder approval of the proposal requesting a climate lobbying report at our 2021 annual meeting, the Board of Directors directed the preparation of our Climate Lobbying Report, which provides an overview of Delta's climate goals, our climate policy principles and recent direct and indirect climate lobbying activities.

The following provides an overview of the domestic and international climate lobbying activities we have engaged in directly on behalf of Delta Air Lines and indirectly via membership-based trade associations from January 1, 2023, through December 31, 2023. It also includes climate-related lobbying activities conducted by or on behalf of our wholly owned subsidiary Monroe Energy, LLC (Monroe) over that same time period. Consistent with our commitment to transparent climate policy leadership, this section of the report also assesses these climate lobbying activities for alignment with our net-zero climate goals and policy principles. [...] We analyzed alignment based on (1) whether the trade association has a climate position that supports the achievement of net-zero emissions by 2050 and/or temperature goals identified by the Intergovernmental Panel on Climate Change (IPCC) as the scientific underpinning of the Paris Agreement and (2) whether specific trade association climate lobbying activities were consistent with our climate goals. The aviation-specific associations in which we are members have expressed strong support for achieving GHG emissions reductions in line with science, with both A4A and IATA having ambitious net-zero goals. [...] Our participation in diverse and multi-sector industry associations, given our ambitious climate goals, helps positively influence the development and execution of climate policy positions and advocacy efforts. Our participation in industry-specific associations facilitates the identification, assessment and mitigation of risks while providing us with a platform for constructive engagement on a variety of policy issues related to climate and non-climate matters. With our climate policy principles, we are sharing our expectations for climate advocacy. While we may not always agree with the views or tactics of these trade associations, we believe they provide a valuable opportunity for us to better understand the views and perspectives of others as we work to inform our advocacy strategies. We are committed to collaborative engagement and problem solving; where we disagree with one or more of these trade associations on a matter tied to our strategy, we have in the past taken – and may in the future take – independent actions to mitigate risks an association's actions may present to our strategy. Government leaders across the country have a key role to play in expanding the SAF market and successfully transitioning from conventional jet fuel to SAF. Their partnership is core to Delta's sustainability strategy and the future of sustainable aviation. Coast to coast, Delta's Government Affairs team is advocating for policies that will incentivize production and kickstart investment in a robust SAF industry. Working with farmers, producers, buyers, policymakers and other players at the state and federal level, can help make SAF more cost effective and accessible through strategic incentives, like tax credits and government-backed financing programs. [...] "SAF is the only solution available today that can yield immediate results and drastically cut airline lifecycle GHG emissions," said Cherie Wilson, Delta's Vice President of Government Affairs - Sustainability. ##### Delta's Board of Directors understands and appreciates the importance of climate matters as well as their significance to our various stakeholders, including our investors.
Delta's environmental sustainability program is subject to regular board-level oversight, through the Corporate Governance Committee of our Board of Directors, which evaluates environmental sustainability opportunities and risks as well as efforts and progress. The committee regularly reviews Delta's climate goals and strategy and is engaged in general oversight of Delta's response to climate change issues. At the management level, oversight is provided through Delta's ESG Council, Carbon Council and Risk Council, each of which reports to the Delta Leadership Committee and is composed of senior executives from across the organization who help to guide our cross-functional working groups on climate strategy and execution as well as related risk mitigation efforts. Our Executive Vice President and Chief Legal Officer serves on the ESG and Risk Councils, and our Senior Vice President, Government Affairs is a member of the ESG Council. Delta recently hired a new Senior Vice President and Chief Sustainability Officer – an industry first - who has joined the Delta Leadership Committee and serves on each of the ESG, Risk and Carbon Councils.
