###### ESG oversight\n\n Company and ESG oversight starts with our Board of Directors; it is supported across Sabre by a network of governance professionals that work together to ensure ESG is considered in daily actions and strategic decision-making.\n\n The Board's role\n\nAt Board level, the Governance and Nominating\nCommittee is responsible for overseeing Sabre's\nESG strategy, initiatives and key stakeholder\nengagement, including with investors. It also\noversees our ESG program, receiving quarterly\nreports on relevant initiatives from our Chief\nCommunications and Sustainability Officer on\nbehalf of the ESG Council. This information\nis shared with the full Board at each quarterly\nBoard meeting.\n\n###### Executive-level oversight\n\nOur Chief Communications and Sustainability Officer\nleads Sabre's ESG strategy development and execution.\nA dedicated Global Director of Sustainability and a\nHead of Sustainability Communications also help\nadvance our strategy, expanding its reach to cover\nall stakeholder groups. The Chief Communications\nand Sustainability Officer reports directly to the CEO,\nwhile the Sustainability Director reports to the Chief\nCommunications and Sustainability Officer.\n\nWe maintain a cross-functional, executive-level\nESG Council. Working closely with the sustainability\nteam, the council plays a crucial role in resourcing\n\nand executing an action plan encompassing data\nmanagement, risk management, policy development\nand review and enterprise reporting. Its primary aim is to\nensure strategic alignment across these activities. The\ncouncil comprises senior leaders from key operational\ndepartments including Inclusion & Diversity, Legal,\nFinance, Accounting, Procurement, People & Operations,\nFacilities, Product and Sustainability.\n\nWe also maintain an I&D Council, structured similarly\nto our ESG Council. The Chief People Officer reports\ndirectly to the CEO, overseeing the I&D Leader who,\nin turn, oversees the I&D Council. Additionally, several\nmembers of our Board bring experience in both I&D\nand sustainability.
