Driving accountability

Equinix manages sustainability through a dedicated Sustainability Program Office (SPO) . The SPO drives our ESG strategy globally working to coordinate across our cross-functional teams to implement and execute our initiatives, processes and policies that address those matters that we deem most significant . The SPO reports to the Chief Financial Officer and is accountable to the Sustainability Executive Steering Committee and Nominating and Governance Committee of Equinix's Board of Directors . Starting in 2022, we modified our variable cash compensation plan for all vice-presidents and above, including the executive officers, to introduce a modifier to our short-term incentives based upon our achievement of certain environmental and diversity objectives . [...] The Nominating and Governance Committee is responsible for ESG oversight at Equinix and reviews strategies, policies, practices, performance and reporting related to corporate ESG matters . The Nominating and Governance Committee provides periodic updates to the full Board . In 2022, the Nominating and Governance Committee updated its charter to include oversight of ESG compensation incentives . This Committee receives updates, including an overview of ESG, from the Sustainability Program Office on behalf of the Sustainability Executive Steering Committee as needed, as well as a focused environmental metrics review at least once a year . Responsibilities of our Sustainability Executive Steering Committee and Sustainability Program Office (SPO) include: (i) setting corporate sustainability strategy and policy, (ii) monitoring and tracking Equinix's progress, and (iii) transparently communicating our efforts externally to enhance our reputation and lead our industry .

### Public Policy Governance

Equinix has a cross-functional Public Policy Council composed of senior leaders with global responsibilities. The Council's remit is to meet quarterly with the Public Policy and Government Affairs team to provide oversight and advice on relevant public policy concerns. Through these meetings, relevant senior executives across Equinix stay informed on legislative and regulatory developments, providing feedback and guidance on Equinix's position on key issues.

Equinix's Public Policy and Government Affairs team reports to the Senior Vice President, Global Regulatory, Public Policy, Privacy and Compliance. Equinix's public policy activities are reviewed and governed by our Executive Vice President, Global General Counsel and Corporate Secretary, in consultation with the Chief Legal and Human Resources Officer and the Board's Nominating and Governance Committee.

Our country managing directors serve as public policy ambassadors. They play a crucial role in assessing policies within their respective regions, voicing the unique needs and requirements of those regions within our company.

Our Public Policy Activities guidance document articulates our approach to trade association engagements, political contributions and advocacy for issues relevant to our business.

The Nominating and Governance Committee semiannually reviews the policies and practices of Equinix's Public Policy function, membership in trade associations, lobbying expenses and activities, and all other political activities.

In all regions throughout the world, Equinix works to conduct its public policy activities in a transparent manner with strict attention to all applicable legal and ethical requirements.

Equinix's public policy function was formally established in January 2017 and reports into Equinix's Chief Compliance Officer. Equinix has established a cross-functional Public Policy Council comprised of executives with global responsibility to provide oversight and advice on relevant public policy concerns.

All activity in this area is reviewed and governed by our Chief Compliance Officer in consultation with the Chief Legal Officer and the Board's Governance Committee. Any political spending aims to promote the interests of Equinix and not those of an individual director, officer or employee.

The Governance Committee semiannually reviews the policies and practices of Equinix's Public Policy function, Equinix's membership in trade associations, Equinix's lobbying expenses and activities, and any other political contributions.

Describe the process(es) your organization has in place to ensure that your engagement activities are consistent with your overall climate change strategy[…]Equinix has a Public Policy Director who reports into Equinix's Compliance Office and up through to the Nominating and Governance Committee of the Board of Directors. To ensure that our activities to influence policy are consistent with our overall climate change strategy, the Public Policy Director is responsible for:
•Meeting with the Nominating and Governance Committee of the Board of Directors at least twice per year to provide briefings on public policy activities and strategy;
•Periodically reviewing Equinix's memberships in trade associations to determine whether they remain consistent with Equinix's public policy objectives;
•Tracking, monitoring, and engaging with internal and external stakeholders on Equinix's core energy/environment policy issues;
•Engaging with executives to utilize internal technical expertise and leadership on key issues;
•Facilitating employee engagement and awareness of public policy issues by posting internal Public Policy Updates and participating on the Public Policy Council; and
•Serving on Equinix's Sustainability Working Team and working with the Global Utilities & Renewable Energy team responsible for buying renewable energy around the world, providing policy updates monthly and ensuring consistency and alignment with our ESG/Sustainability program, messaging in our Annual Sustainability Report and policy-specific collateral.
