The Board has ultimate accountability for ITV's Climate Action programmes which will be delivered through this plan, for monitoring climate-related risks and for reviewing progress against ITV's Social Purpose Strategy. The ITV PLC Board fulfils this accountability through ongoing review of ITV's climate plans, our principal and emerging risks, and through specific sessions on climate‑related topics. ITV's Social Purpose and Sustainability Team maintains our transition plan, including any changes and updates, and reports this to the COO/CFO who has oversight of the plan. [...] Progress against the actions set out in this plan will be reviewed monthly by the Strategy Director of ITV's Strategic Initiatives, with any material issues subsequently raised to the CEO and COO/CFO. Climate considerations are also built into ITV's investment decision-making process through the Group Investment Committee (GIC), whereby any cross-divisional investments over £150k are subject to review based on the climate impact. Climate data and progress updates are reviewed at regular intervals by the Management Board, through updates to divisional Boards and annual reviews by the ITV PLC Board. These reviews will now cover our transition plan. The ITV PLC Board also receives sessions on specific climate‑related topics as relevant, including ITV's Climate Transition Programme and upcoming climate-related regulations. The ITV PLC Board is supported by the Management Board and the Climate Action Delivery Group (CADG). [...] ITV's Climate Action Delivery Group (CADG) is chaired by the COO/CFO and consists of senior management representation across the business, including Finance, Technology, ITV Studios, Media & Entertainment, Procurement, Risk and Social Purpose and Sustainability teams. The Management Board delegates authority to the CADG which oversees our Climate Transition Programme. [...] The CADG ensures business activities and decisions align to our climate action agenda, implementation strategies, and address our climate‑related risks and opportunities. In its quarterly meetings, the CADG members monitor the status of ITV's climate action plans, through a combination of ongoing updates on activities from the Social Purpose and Sustainability Team, the Group Risk function and senior business representatives. The CADG also reviews quarterly data to monitor progress against our environmental targets and considers what improvements are required to improve data quality and to deliver the necessary operational changes. These reviews cover data and progress by business areas that are then reported to the Divisional and Management Boards.

The Risk Committee is informed about climate-related issues on a quarterly basis via structured meetings. This process allows the Risk Committee to monitor and oversee progress against our targets for addressing climate-related issues, such as our Climate Transition Plan. Its responsibilities include reviewing the assessment of dependencies risks, opportunities and impacts; ensuring robust reporting; overseeing verification processes; overseeing scenario analysis; and monitoring compliance with corporate policies and commitments. [...] The Risk Committee reports biannually to the Audit and Risk Committee and the Plc Board, ensuring comprehensive oversight and integration of climate-related risks and opportunities into our broader governance and strategic planning process.

Describe the process(es) your organization has in place to ensure that your engagement activities are consistent with your overall climate change strategy[…]ITV is supporting the net zero transition across all the sectors we interact with. We aim to participate in shaping the agenda in areas like advertising and the decarbonisation of streaming and digital activities where there are currently no frameworks in place, and work to influence the activity of these forums so they align with our goals. Some of the ways we have to ensure engagement activity is consistent with our goals include:
- Engaging directly with the chairs of each organisation to establish the level of climate ambition each organisation is championing and check the aims of the organisation are aligned to our climate strategy
- Inputting into, reviewing and feeding back on any publications published collaboratively by the organisation, and using the insights from these reports to in turn inform our own strategy
- Connecting directly with fellow members of each organisation to explore the opportunity to directly collaborate, set up working groups, and explore specific climate topics in more detail, in order to further inform our own strategy.
- Ensuring advocacy of and involvement in these activities is demonstrated right across the business, not just within the Social Purpose team. For example, our commercial team participates in the Ad Net Zero working groups
- Ensuring advocacy of and involvement in these activities is demonstrated right across the business, not just within the Social Purpose team. For example, our Technology team are highly involved in the DIMPACT working group.
- making sure the activities and aims of these organisations do not contradict each other, by making sure a consistent member of ITV is involved in each organisation, usually a member of the Social Purpose team
