This document defines the guidelines that regulate INWIT's lobbying activity in compliance with ethical principles, transparency and legality, in order to represent corporate interests before public decision-makers and contribute to a fair and informed decision-making process, in compliance with the values and standards defined by the company and state laws.

### CLIMATE GOVERNANCE
One of the key aspects for the successful implementation of the Climate Transition Plan is the presence of a well-defined governance for its supervision, monitoring and updating.
For INWIT, the path aimed at integrating sustainability into corporate choices and strategies has taken concrete form starting from governance, since the birth of the new INWIT in March 2020, with the establishment of the Sustainability Board Committee and a dedicated organisational unit within the External Relations, Communication & Sustainability Department.
The **Sustainability Committee is a body of the Board of Directors with consultative and** propositional functions. In particular, it is responsible for:
- monitor compliance with corporate social responsibility standards, as well as national and international regulatory developments and best practices in this area;
- making proposals to the Board of Directors on sustainability strategies and the Sustainability Plan, monitoring its implementation on the basis of the targets set in the plan and evaluating its update at the end of each financial year;
- monitor the consistency of INWIT's objectives and management with environmental, social and corporate sustainability (ESG) criteria, as well as sustainable finance initiatives, the company's position in ESG indices and ratings, and the company's non-profit strategies;
- supervise and guide the scenario analysis and risk management process;
- supervise and guide employee incentives;
- supervise, guide and approve the development of the transition plan.
An update and approval session of the Sustainability Plan is held annually, within the update of the Business Plan, by the Board of Directors.
The Control and Risk Committee is a body with advisory and proposing functions that has the task of assisting the Board of Directors in its evaluations and decisions relating to the internal control and risk management system and in the approval of periodic financial and non-financial reports. Among other things, the committee is responsible for observing the implementation, monitoring and updating of the Enterprise Risks Management System.
In INWIT, the position of Chief Sustainability Officer (CSO) corresponds to the Director of External Relations, Communication & Sustainability. The CSO is responsible for the supervision and evaluation of climate-related risks and opportunities, in cooperation with all departments involved, in particular Risk&Compliance, Energy Management and Finance. The CSO is also responsible for coordinating the ESG strategy, updating the Sustainability Plan and monitoring its progress, reported on a six-monthly basis to the Sustainability Committee, defining and monitoring the Net Zero to 2040 Plan and the Climate Transition Plan, and preparing non-financial and sustainability reporting.
**The Head of Sustainability reports to the CSO. Its role is to identify, assess and manage climate-related risks and opportunities, implementing and** monitoring the ESG strategy, contributing to the updating and monitoring of the Sustainability Plan and the Net Zero Plan through direct engagement of various corporate functions involved, and collecting data and information for the production of non-financial and sustainability reporting.
**The Head of Energy Management reports to the Director of Technology & Operations and is responsible for the management of the energy investment** budget, the development and implementation of an energy management system and energy efficiency measures, the purchase of green energy certificates, the supervision of renewable energy production and the achievement of the energy targets included in the sustainability plan.
**The Leadership Team is the main executive corporate governance body and operates with the objective of overseeing the company's activities with** particular reference to: strategic, economic/financial and sustainability Plans.
**The integration of ESG issues into the company's procedural framework is guaranteed and constantly strengthened through the implementation** of sustainability-related policies, that guide worker's behavior and, indirectly, also those of his interlocutors. These elements further an already strong governance towards the sustainable success.

Uno degli aspetti fondamentali per il successo della realizzazione del Climate Transition Plan consiste nella presenza di una governance ben definita per la sua supervisione, monitoraggio e aggiornamento. In INWIT il percorso volto ad integrare la sostenibilità nelle scelte e nelle strategie aziendali si è concretizzato a partire dalla governance, sin dalla nascita della nuova INWIT nel marzo 2020, con la costituzione del Comitato di Sostenibilità endoconsiliare e di un presidio organizzativo dedicato all'interno della Direzione External Relations, Communication & Sustainability. Il Comitato Sostenibilità è un organo del Consiglio di Amministrazione con funzioni consultive e propositive. In particolare, è responsabile di: - monitorare l'osservanza delle norme in materia di responsabilità sociale d'impresa, nonché gli sviluppi normativi nazionali e internazionali e le migliori pratiche in materia; - formulare proposte al Consiglio di Amministrazione sulle strategie di sostenibilità e sul Piano di Sostenibilità, monitorando la sua attuazione sulla base degli obiettivi fissati nel piano e valutandone l'aggiornamento alla fine di ogni esercizio; - monitorare la coerenza degli obiettivi e della gestione di INWIT con i criteri di sostenibilità ambientale, sociale e d'impresa (ESG), nonché le iniziative di finanza sostenibile, la posizione dell'azienda negli indici e rating ESG e le strategie no-profit dell'azienda; - supervisionare e guidare l'analisi di scenario e il processo di gestione del rischio; - supervisionare e guidare gli incentivi ai dipendenti; - supervisionare, guidare e approvare lo sviluppo del Piano di transizione. Annualmente viene svolta una sessione di aggiornamento e approvazione del Piano di Sostenibilità, all'interno dell'aggiornamento del Piano Industriale, da parte del Consiglio di Amministrazione. [...] II Comitato Controllo e Rischi è un organo con funzioni consultive e propositive che ha il compito di assistere il Consiglio di Amministrazione nelle sue valutazioni e decisioni relative al sistema di controllo interno e di gestione dei rischi e nell'approvazione delle relazioni periodiche finanziarie e non finanziarie. Il comitato si occupa, tra le altre cose, di osservare l'attuazione, il monitoraggio e l'aggiornamento del Enterprise Risks Management System. In INWIT, la posizione di **Chief Sustainability Officer (CSO) corrisponde al Direttore External Relations, Communication & Sustainability. Il CSO è responsabile della supervisione e della valutazione dei rischi e delle opportunità legate al clima, in collaborazione con tutti i dipartimenti coinvolti, in particolare con Risk&Compliance, Energy Management e Finance. Il CSO è anche responsabile del coordinamento della strategia ESG, dell'aggiornamento del Piano di Sostenibilità e del monitoraggio del suo stato di avanzamento, riportato su base semestrale al Comitato Sostenibilità, della definizione e monitoraggio del Piano Net Zero al 2040 e del Climate Transition Plan e della preparazione della reportistica non finanziaria e di sostenibilità. **L'Head of Sustainability riporta al CSO. Il suo ruolo è quello di identificare, valutare e gestire i rischi e le opportunità legate al clima, implementando e** monitorando la strategia ESG, contribuendo all'aggiornamento e al monitoraggio del Piano di Sostenibilità e del Piano Net Zero mediante confronto diretto con le diverse funzioni aziendali coinvolte, e raccogliendo dati e informazioni per la redazione della reportistica non finanziaria e di sostenibilità. **L'Head of Energy Management riporta al Direttore Technology & Operations ed è responsabile della gestione del budget per gli investimenti** energetici, dello sviluppo e dell'implementazione di un sistema di gestione dell'energia e di misure di efficienza energetica, dell'acquisto di certificati di energia verde, della supervisione della produzione di energia rinnovabile e del raggiungimento degli obiettivi energetici inclusi nel Piano di Sostenibilità. Il Leadership Team è il principale organismo aziendale di governance esecutiva ed opera con l'obiettivo di sovraintendere le attività aziendali con particolare riferimento a: piani strategici, economico/finanziari e sostenibilità. **L'integrazione delle tematiche ESG nel framework procedurale aziendale è garantita e costantemente rafforzata attraverso l'azione di policy** afferenti alla sostenibilità che indirizzano i comportamenti delle persone che operano all'interno dell'azienda e, indirettamente, anche dei suoi interlocutori. Questi elementi abilitano ulteriormente la governance già fortemente orientata al perseguimento del successo sostenibile.

Con delibera del Consiglio di Amministrazione del 16 dicembre 2021, INWIT ha adottato la propria policy anticorruzione, in un'ottica di gestione del rischio secondo il principio "tolleranza zero". La policy, ispirata alla normativa nazionale e internazionale e alle best practice di riferimento, è stata elaborata ex novo tenendo conto delle aree maggiormente esposte a rischio corruzione di INWIT, e definisce ruoli e responsabilità nel contesto aziendale. In base a quanto previsto dagli obblighi legali o contrattuali, la policy è destinata a tutta la popolazione aziendale, è pubblicata sul portale aziendale nonché sul sito internet della società. In aggiunta, la Policy anticorruzione è stata opportunamente condivisa con il Collegio Sindacale. [...] Nel corso del 2021, tutti i 13 membri del CdA, tutti i quadri e tutti gli impiegati di INWIT hanno ricevuto comunicazione riguardo le politiche e le procedure anticorruzione. Inoltre, sono state erogate alla popolazione aziendale sessioni formative in materia di compliance e di business ethics, con focus specifici sulla responsabilità ex d.lgs. 231/01 e sui relativi reati presupposti, sull'anticorruzione nei settori pubblico e privato e sul conflitto di interessi. A rafforzamento dell'efficienza dei requirements della Policy, le clausole contrattuali con i fornitori contengono opportune comunicazioni in tale senso. [...] Si prevede, inoltre, una due diligence anticorruzione sulle terze parti. Eventuali violazioni, anche presunte, della policy anticorruzione possono essere segnalate tramite i canali whistleblowing (descritto di seguito). [...] L'Organismo di Vigilanza 231 di INWIT è l'owner del processo di gestione delle segnalazioni, il quale si avvale, a sua volta, del Responsabile della Funzione Audit per la gestione delle segnalazioni stesse.

Similarly, to strengthen the control of the activities that provide an interface with the national and local institutions, with reference to the critical situations present at the territorial level, to the definition of the company position, the intervention programs, and the priorities of action, INWIT has established the **Institutional Integration Steering Team. Periodically, the Steering Team provides an update to the General Manager on the critical issues found in the operational processes, the related solutions identified and the progress of the defined action plan.

The Procedure is briefly explained in the 'Report on Corporate Governance and Ownership Structure 2023 of Infrastrutture Wireless Italiane S.p.A.' to which, therefore, reference is made. It should also be noted that this procedure was last updated on May 13, 2021, in order to incorporate the amendments to the relevant Consob Regulations adopted by Consob Resolution no. 21624 of December 10, 2020 (the procedure is published on the company website www.inwit.it, Governance section). The Board of Statutory Auditors has supervised the conformity of the procedures adopted with the principles indicated by Consob and their effective compliance and, with reference to related party transactions of an ordinary nature, has no remarks to make about their appropriateness and their compliance with the Company's interest.

Starting from the awareness that relations with stakeholders are an integral part of a responsible and sustainable management of the business and are fundamental in the process of creating value for the company, INWIT has embarked on a path aimed at strengthening the engagement process with its stakeholders. The commitment to consolidate and strengthen relations with stakeholders, by virtue of a solid creation of value, is in line with the indications contained in the new Corporate Governance Code, applied from 2021 onwards. The new Code supports "sustainable success" in the creation of long-term value for the benefit of shareholders, taking into account the interests of other stakeholders relevant to the Company, and provides that it is the administrative body that promotes, in the most appropriate forms, the dialog with these stakeholders. [...] The Committee, coordinated by the Director of External Relations, Communication and Sustainability, is composed of the representatives of various company functions and in relation to the issues covered, expects the involvement of further functions. The Committee provides periodically the CEO with an update on the found criticalities in the operational processes, the relative solutions identified and the progress of the defined action plan.

The Sustainability Plan is approved by the Board of Directors and is fully integrated into the Industrial Plan. [...] The Board of Directors verifies the effectiveness of processes aimed at identifying and managing INWIT's impact on the economy, environment and people, such as Enterprise Risk Management (ERM), which is updated annually. The BoD is also responsible for ensuring that the Integrated Report is prepared and published in accordance with the provisions of Legislative Decree 254/2016. [...] With respect to the delegation of responsibility for managing INWIT's impacts on the environment, people and the economy, management reports the manner in which impacts are managed to the highest governing body at least annually, by means of updating the Integrated Report. The Board of Directors is, in fact, responsible for approving this document annually. Describe the process(es) your organization has in place to ensure that your engagement activities are consistent with your overall climate change strategy[…]Core activity of INWIT's engagement process is its Stakeholder Forum. On 18 May 2021 INWIT's held the first event, presenting four main themes of discussions, including also the role of digital transition for the fight against climate change. The inclusion of climate change as a top element of the agenda underlines the commitment of INWIT to take efforts on the issue across its entire value chain. Stakeholder feedback and main point of discussion are key input for the next stap of INWIT's engagement activities: a solid materiality matrix. In addition to that, tackling climate change impacts in the value chain has been one of INWIT main issues included in its sustainability plan, where the company has set the ambitious targets to increase the awareness of its suppliers on ESG topics (climate change included) and collect information and measure impact of its value chain throughout an ESG survey.
