AMI does not have a special committee that manages sustainability. The highest governance bodies are the Board of Commissioners and the Board of Directors. AMI implements a two-tier governance system that separates the oversight and management functions. The oversight function is the responsibility of the Board of Commissioners and the management function is the responsibility of the Board of Directors. The oversight and management functions are also implemented in sustainability with the Board of Commissioners acting as a supervisor that allows the Board to give recommendations and advice to the executive body, in this case, the Board of Directors. The responsibility of implementing sustainability governance is currently being held by the Board of Directors. The coordinator for the implementation of sustainable practices is assigned to the Division that handles the ESG within Adaro Group.

To achieve business sustainability, AMI closely coordinates with the AlamTri Group. The implementation of sustainability governance within the AlamTri Group is the responsibility of the Board of Directors, in collaboration with the Sustainability Management Committee, to carry out sustainable practices, including the development, approval, and updates related to the achievement of the Sustainable Development Goals (SDGs). This committee regularly discusses ESG issues within the AlamTri Group, including AMI, and coordinates these matters with the Board of Directors and relevant functions. The Board of Commissioners oversees the governance of sustainability practices. At AMI, sustainability governance is a coordinated effort between the ESG Task Force, relevant Division Heads, and the Board of Directors. The AMI ESG Task Force is responsible for calculating GHG emissions and implementing initiatives to reduce emissions, supporting the achievement of NZE by 2060 or earlier. The task force is led by a director who presents ESG issues during Board of Directors meetings. As part of its development, the task force holds regular meetings to discuss the management of economic, environmental, and social impacts in AMI's operational areas. Each division within the task force has specific roles and responsibilities related to ESG. The operations-related divisions are responsible for integrating sustainability into operational activities. The HR division focuses on employee development and improving camp facilities to ensure a proper working environment. The HSE division is responsible for maintaining occupational health and safety for employees and preserving the environment surrounding the mining area. Meanwhile, the PDCA division manages ESG-related initiatives and continuous improvements.

Pada tanggal 20 September 2021, Perusahaan menandatangani Perjanjian Layanan Konsultasi dan Dukungan Manajemen dengan AEI, dimana AEI setuju untuk memberikan saran, bantuan, layanan konsultasi kepada Perusahaan, seperti tata kelola dan kepatuhan perusahaan, hubungan pemerintah, keabsahan dan pelaksanaan perjanjian, akuntansi, pajak dan perbendaharaan, ketenagakerjaan dan sumber daya manusia, masalah lingkungan, pengadaan dan kontrak, tanggung jawab sosial, audit internal dan manajemen risiko, dan pengamanan. Sebagai imbalannya, Perusahaan setuju untuk membayarkan kepada AEI biaya manajemen yang besarannya akan disepakati lebih lanjut antara kedua belah pihak dalam kesepakatan tertulis lainnya dan yang dibayarkan setiap bulan. Perjanjian ini berlaku efektif sejak tanggal ditandatanganinya Perjanjian dan berlaku sampai dengan salah satu pihak mengakhiri perjanjian.
