The Governance Committee, composed solely of independent directors, oversees the Company's public policy and government relations activities, including policies and guidelines regarding political contributions and lobbying activities, and external reporting on such activities. This includes political and campaign contributions as well as any contributions to trade associations and other tax-exempt and similar organizations that may engage in political activity, including climate-related public policy. Our climate change and energy transition programs and policies are overseen by GE's Chief Sustainability Officer (CSO). The result of this effort is a new sustainability management system that the team calls "the Control Room," inspired by the concept of control rooms in the power sector, "a place of unflappable professional execution in operating what's been described as the planet's most complex machine, the electric grid," says Roger Martella, GE Vernova's chief sustainability officer and head of government affairs. "The execution of our Control Room and the sharing of our inaugural Sustainability Report are the culmination of work that began over a year before GE Vernova's legal creation." At the outset, more than 30 employees from all functions, businesses, and regions came together in Brussels, Belgium, with scores of ideas, but Martella recalls that all of them agreed on one thing: "Before we could succeed in our goals, we had to first create the system." The GE Vernova Control Room calls for continuous improvement and engagement with the company's external and internal stakeholders to evolve and foster real, measurable progress on solving the world's sustainability challenges.

Through this procedure all stakeholders, including employees and directors can raise a concern when seeing a situation in which integrity principles or policies (i.e., The Spirit & The Letter) are not being followed or do not appear of being followed. Anyone can report concerns about any actual or potential violation of law. Company holds its leaders accountable for creating a culture of compliance in which employees understand their responsibilities and feel comfortable raising concerns without fear of retaliation. Leaders' responsibilities span prevention, detection and response to compliance issuesas such employees are encouraged to raise integrity concerns. Confidentiality is strongly respected, but the program allows concern raiser to remain anonymous. If any employee faces any retaliation after reporting a concern or due to supporting an investigation, he/she can choose to speak or write to any of the channels made available, incl. the Chairman of the Audit Committee. The access to the Audit Committee is not restricted. Any retaliation — whether direct or indirect — against employees who raise a concern is grounds for discipline up to and including dismissal.
