**POLICY ON POLITICAL CONTRIBUTIONS AND LOBBYING ENGAGEMENTS**

At AutoZone, we believe that it is important to participate in political and regulatory
processes on issues that affect our business and community interests. We work proactively
to enable AutoZone's strategies through public policy and government advocacy. We also
participate in political activities and advocate for legislation when there is a connection to
our business and our ability to grow the business in a way that is consistent with our values,
our legal obligations, and our Code of Conduct. For example, in the past we have been active
in policy discussions and have lobbied on issues related to the collection and remittance of
state sales taxes by on-line retailers and right-to-repair legislation. AutoZone only takes
positions on ballot measures, initiatives or propositions that have a direct impact on our
business and community interests. All AutoZoners, including all employees, officers and the
Board of Directors, are required to comply with this policy, when they are acting on behalf
of AutoZone.

Corporate Political Contributions and Lobbying Engagements

When permitted by law, AutoZone participates in the political process by using corporate
funds to make political contributions to political parties, political campaigns, committees,
other political organizations and ballot initiatives that further our business strategies,
community interests and public policy objectives. Our Government and Community
Relations department manages and oversees the Company's political activities. All corporate
political contributions are reviewed and approved in advance by the Vice President,
Government and Community Relations, and the Senior Vice President, General Counsel. No
contributions are made based on the personal interests of any employee or director.

Political contributions of all types are subject to extensive governmental regulation and
public disclosure requirements, and AutoZone is fully committed to complying with all
applicable campaign finance laws. AutoZone makes corporate contributions to limited
groups organized under section 527 of the Internal Revenue Code, notably to national
organizations such as the Democratic and Republican Governor's Associations, subject to the
approval process described above.

Additionally, AutoZone from time to time may engage various corporate lobbying firms to
advocate for legislation on its behalf at the local, state and federal government levels. All
corporate lobbying engagements are reviewed and approved in advance by the Vice
President, Government and Community Relations, and the Senior Vice President, General
Counsel.

Our Senior Vice President, General Counsel annually provides updates of corporate political
contributions and lobbying engagements and the processes used to approve them to the
Nominating and Corporate Governance Committee of the AutoZone Board of Directors,
which are shared with the full Board. Furthermore, all lobbying engagements that exceed
$250,000 shall be approved by the Nominating and Corporate Governance Committee.

AutoZone, Inc. Committee for a Better Government (PAC)

AutoZone supports employee participation in the political process and provides eligible
employees with the opportunity to contribute to the AutoZone, Inc. Committee for a Better
Government political action committee (PAC). The PAC is a separate legal entity, with its own
oversight council, which is funded solely from voluntary contributions made by eligible
AutoZone employees. The PAC supports candidates whose positions are in line with
AutoZone's values and overall business goals of growth and stability. All PAC contributions
are made in a legal, ethical and transparent manner in accordance with federal laws and
regulations governing political action committees. The Vice President, Government and
Community Relations manages and oversees all PAC contributions with final approval by our
internal PAC Council. All PAC contributions are fully and publicly disclosed in reports filed
with the Federal Election Commission.

AutoZone is a member of various U.S.-based industry and trade associations that further our
business, economic and community interests. These associations keep us informed on
developments and trends in our industry, and help us focus our advocacy in the most
effective way. Some of these industry and trade associations engage in significant public
policy advocacy related to our core business interests. We often communicate and advocate
our positions through our membership in concert with our industry partners. All dues paid
to these trade associations are made with corporate funds.

Board Oversight: As explained in our policy, management provides annual updates of corporate political contributions and lobbying engagements to our Nominating and Corporate Governance Committee.
